My management consulting firm is applying for federal WOSB certification, and I want to make sure we meet all the ownership and control criteria. I've been looking at the SBA's WOSB program page, and the rules about ownership percentages are clear, but I'm a bit confused about the 'control' aspect. Specifically, what does the SBA consider sufficient evidence that a woman owner has unconditional and direct control of the firm, especially regarding day-to-day operations and strategic decisions? Does the SBA look at specific roles or titles, or is it more about demonstrated authority through corporate documents? We are a service-based business under NAICS 541611. What are the current ownership and control requirements for WOSB certification in October 2026, particularly concerning the woman owner's role in the business?

For federal WOSB certification, the woman owner must demonstrate unconditional and direct control of the firm, covering both day-to-day operations and strategic decisions, and this is primarily evidenced through corporate documents and demonstrated authority. The SBA rules require that the woman or women must hold at least 51 percent of the firm's stock, and also control its management and daily business operations. The SBA examines the firm’s corporate documents, such as bylaws, operating agreements, and shareholder agreements, to ensure that the woman owner holds the highest officer position, has the experience to manage the firm, and possesses the power to make independent decisions. For instance, the woman owner must have the authority to make decisions on matters such as hiring and firing, financial transactions, and client contracts. The SBA also reviews the woman owner's resume and her actual involvement in the firm's activities to confirm her active management role. There is no cost to apply for WOSB or EDWOSB certification (13 CFR 127.300).
