My company is veteran-owned, and I am looking to get the new SBA VOSB certification. I know the NDAA for Fiscal Year 2021 transferred VOSB and SDVOSB certification to the SBA as of January 1, 2023. I have heard some things about the requirements changing. What are the current ownership and control requirements I need to meet for the SBA VOSB certification? I am trying to figure out the application process now that it is with the SBA. I want to make sure I get it right for federal contracts, specifically some upcoming Department of Justice work under NAICS 561492. What should I be looking for in terms of documentation?

The SBA now handles VOSB and SDVOSB certification, and your company must be at least 51 percent owned and controlled by one or more veterans to qualify. This ownership requirement means that the veteran or veterans must hold at least 51 percent of all classes of voting stock and 51 percent of all classes of non-voting stock, if any. The SBA reviews the business's governing documents, such as articles of incorporation, bylaws, and operating agreements, to ensure this ownership structure is clear.

For control, the veteran owner or owners must manage the firm's day-to-day operations and make long-term decisions. This includes holding the highest officer position and having the technical expertise or managerial experience to run the business. The SBA evaluates the management team, looking for evidence that the veteran has the ultimate decision-making authority. You will need to provide documentation like resumes, organizational charts, and evidence of operational control. The application is submitted through the SBA's online portal, and there is no cost to apply. For federal contracts, this certification is essential for accessing set-aside opportunities and sole source awards.
